1. Acceptance of terms
By accessing profitec-ai.com (the “Site”), using the Builder, ROI calculator, or other interactive tools on it, or engaging Profitec AI to deliver consulting or automation services, you (“Client”, “you”) agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please discontinue use of the Site and our services.
These Terms form a binding agreement between you and Profitec Israeli Innovation Center Ltd. (“Profitec AI”, “we”, “us”), an Israeli company with registered office at 34a Shmurat Nahal Banias St., Netanya, 4207858, Israel.
2. Scope of services
Profitec AI provides B2B consulting, design, implementation, monitoring, and operational support for AI-driven workflow automation systems. Specific deliverables, timelines, fees, success criteria, and acceptance procedures for any engagement are defined in a separate written statement of work (“SOW”) signed by both parties. In the event of conflict between these Terms and a signed SOW, the SOW prevails for that engagement.
The Site itself, plus tools such as the Builder and ROI calculator, are provided free of charge as illustrative and informational resources. They do not constitute a binding offer to deliver a project and they do not produce production-ready automation by themselves.
3. Eligibility and account information
The Site is intended for business users acting on behalf of an organisation. By submitting any form, ROI estimate, workflow sketch, or contact request, you confirm that you are authorised to do so on behalf of the organisation you represent and that the information provided is accurate and not misleading.
We do not knowingly collect information from persons under the age of 18.
4. Intellectual property
All content on the Site — including text, graphics, illustrations, code, methodologies, frameworks, the Profitec AI brand, and the look-and-feel — is owned by Profitec AI or its licensors and is protected by Israeli and international intellectual-property law. You may view, download, and share Site content for non-commercial, internal-evaluation purposes provided that all copyright and attribution notices are preserved.
For paid engagements, ownership of custom deliverables (configurations, prompts, integration code, documentation produced specifically for the Client) is allocated as set out in the applicable SOW. Profitec AI retains ownership of its underlying tools, libraries, methodologies, frameworks, and any general improvements made to them in the course of the engagement.
5. Client responsibilities
You agree to:
- Provide accurate information about the workflows, tools, data, and operational context being assessed or automated.
- Maintain ownership of and proper licensing for any third-party tools and data shared with us.
- Designate a primary point of contact with authority to approve scope, review deliverables, and provide timely feedback.
- Keep all credentials, API keys, and access tokens secure and rotate any that are shared with us when the engagement ends.
- Comply with applicable laws, regulations, and the terms of service of any third-party platforms involved in the automation.
6. Fees, invoicing, and payment
Fees, currency, payment milestones, and invoicing cadence for any consulting or implementation engagement are defined in the SOW. Unless otherwise agreed in writing, invoices are payable within thirty (30) days of issue. Late payments may accrue interest at the maximum rate permitted by applicable law and may trigger suspension of services after written notice.
All fees are exclusive of VAT or other taxes applicable in your jurisdiction, which you are responsible for paying.
7. Acceptable use of the Site
You agree NOT to:
- Use the Site or its tools to develop or train a competing product or service.
- Scrape, harvest, or republish substantial portions of the Site without prior written consent.
- Attempt to gain unauthorised access to non-public areas, accounts, or systems.
- Probe, scan, or test the vulnerability of the Site or interfere with its operation.
- Use the Site to transmit malware, spam, or otherwise unlawful content.
- Submit information that is false, misleading, defamatory, or infringing.
8. Confidentiality
Each party may receive non-public information about the other (“Confidential Information”). The receiving party will use the same degree of care it uses for its own confidential information — and in any case at least a reasonable degree of care — to prevent its disclosure to third parties, except (i) to advisers under equivalent obligations of confidentiality, (ii) where disclosure is required by law, or (iii) where the information has lawfully entered the public domain.
9. Disclaimers
The Site, the Builder, the ROI calculator, and any free educational content are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy of results, and non-infringement. ROI estimates and workflow sketches are illustrative; actual results depend on data quality, operational context, third-party services, and other factors outside our control.
For paid engagements, the warranties expressly set out in the applicable SOW apply; no other warranties are implied.
10. Limitation of liability
To the maximum extent permitted by applicable law, Profitec AI’s aggregate liability arising out of or relating to (a) your use of the Site or its free tools is limited to one hundred US dollars (US $100); and (b) any paid engagement is limited to the fees actually paid by you under that engagement during the six (6) months preceding the event giving rise to the claim.
Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (such as liability for fraud, wilful misconduct, or death or personal injury caused by negligence).
11. Indemnification
You agree to indemnify and hold harmless Profitec AI, its officers, employees, and agents from any third-party claim, demand, or loss arising from (i) your use of the Site in breach of these Terms, (ii) information you submit that is unlawful or infringes the rights of others, or (iii) your breach of any law or regulation in connection with your use of the Site or our services.
12. Termination
You may stop using the Site at any time. We may suspend or terminate your access to the Site if we reasonably believe you have breached these Terms or applicable law. Termination of any paid engagement is governed by the corresponding SOW.
Sections that by their nature should survive termination — including intellectual-property ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, the law, or operational practice. The “Last updated” date at the top of the page indicates when the most recent change was made. Material changes will be highlighted on the Site. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Yafo, Israel.
Nothing in this section deprives a consumer of the protection afforded by the mandatory provisions of the law of the country in which they ordinarily reside.
